Publication of Circular and Notice of General Meeting 2019

On 11 September 2019, the Group announced a proposed change to its registered name to Pharos Energy plc. The proposed change of name, in order to take effect, requires shareholders to pass a special resolution at a general meeting of the Company.

A circular (the "Circular") has been published today containing information on the background to and reasons for the proposed name change. The Circular also includes a notice convening a general meeting of SOCO shareholders to be held at Shepherd and Wedderburn LLP, Condor House, 10 St. Paul’s Churchyard, London EC4M 8AL at 10.00 a.m. on 16 October 2019. Paper copies of the Circular, together with a Form of Proxy, will be mailed today to those shareholders having elected to receive paper copies.

A copy of the circular will shortly be available for download on our website . The circular can also be inspected at the office of SOCO, 48 Dover Street, London, W1S 4FF during normal business hours on any weekday (excluding Saturdays, Sundays and public holidays) from the date of this announcement until the conclusion of the general meeting and at the place of the general meeting from 9.00 a.m. on the day of the general meeting until the conclusion thereof.

In accordance with LR 9.6.1R, a copy of the Circular, together with a Form of Proxy, has been submitted to the National Storage Mechanism and will shortly be available for inspection on the National Storage Mechanism's website, http://www.morningstar.co.uk/uk/NSM.

In Egypt, the Group holds a 100% working interest in the El Fayum oil concession in the Western Desert, one of Egypt’s most established and prolific hydrocarbon basins. The concession produces from 10 fields and is located 80 km south west of Cairo. It is operated by Petrosilah a 50/50 JV between the Group and Egyptian General Petroleum Corporation (EGPC). In Vietnam the Group holds a 30.5% working interest in the Te Giac Trang Field in Block 16-1, which is operated by the Hoang Long Joint Operating Company. Block 16-1 is located in the shallow water Cuu Long Basin, offshore southern Vietnam and a 25% working interest in the Ca Ngu Vang field in Block 9-2, which is operated by the Hoan Vu Joint Operating Company. Block 9-2 is located in the shallow water Cuu Long Basin, offshore southern Vietnam. The Group also holds a 70% interest in and is designated operator of Blocks 125 & 126, located in the moderate to deep water Phu Khanh Basin, offshore central Vietnam.
